These Terms & Conditions (“Terms”) govern your access to and use of vi-tex.com (the “Site”) and any purchase, sample order, quotation, or business transaction with Vi-Tech Global / VI-TEX (“VI-TEX,” “we,” “us,” “our”). By using the Site, submitting an inquiry, requesting a quotation, or placing an order, you agree to these Terms.
1) Business-to-Business Use
The Site and our products are offered primarily to business customers (manufacturers, brands, wholesalers, importers, distributors). You confirm that you act for business purposes and have authority to bind the company you represent.
2) Products, Specifications & Technical Information
2.1 Product information. Product descriptions, parameters, images, and performance statements on the Site are for reference and may vary due to raw materials, production lots, testing methods, or end-use construction.
2.2 Final specifications. The final product specification is the one confirmed in writing (e.g., quotation, proforma invoice, order confirmation, approved sample, tech sheet).
2.3 Buyer responsibility. You are responsible for verifying suitability for your application, including knitting/weaving structure, finishing, dyeing, and compliance requirements for your destination market.
3) Quotations & Pricing
3.1 Quotations. Quotes are provided based on the information you submit (count, composition, color, volume, packing, incoterm, destination). Quotes may have a validity period stated in the quotation.
3.2 Price changes. Prices may change due to raw material cost, exchange rates, energy, freight, or production factors. We confirm final pricing in the proforma invoice or written order confirmation.
3.3 Taxes and duties. Unless otherwise agreed, prices exclude local taxes, customs duties, and import-related charges in the destination country.
4) Sampling, Color Cards & Development
4.1 Samples. Samples may be free or charged depending on type and quantity. Freight and courier fees are typically borne by the buyer unless otherwise agreed in writing.
4.2 Color references. Color cards, lab dips, or shade standards are used to align expectations. Minor variations may occur between batches and under different lighting or material conditions.
4.3 Custom development. For custom counts, blends, colors, or special requirements, lead time and MOQ may change. We confirm these in writing before production.
5) Orders, Acceptance & Changes
5.1 Order acceptance. An order becomes binding only after we issue a proforma invoice, sales confirmation, or other written acceptance.
5.2 Changes/cancellation. If you request changes or cancellation after confirmation, you agree to cover incurred costs (materials, labor, testing, packaging) and any non-cancellable commitments.
6) Payment Terms
6.1 Payment method. Payment terms are stated on the proforma invoice (e.g., T/T). You must pay according to the agreed schedule.
6.2 Late payment. Late payments may delay production or shipment. We may suspend performance until outstanding amounts are settled.
7) Production, Quality & Inspection
7.1 Quality standard. Unless otherwise agreed, quality is evaluated according to the confirmed specification, approved sample, and agreed inspection method.
7.2 Inspection. You may request pre-shipment inspection at your cost unless we agree otherwise. If you do not request inspection, our standard internal inspection applies.
7.3 Reasonable tolerance. Textile products may have reasonable tolerances (e.g., shade, weight, count variation) depending on the product type and process. We will clarify tolerance standards when needed.
8) Delivery, Lead Time, Risk of Loss
8.1 Lead times. Lead times shown on the Site are estimates. We confirm lead time in the order confirmation and may adjust it due to force majeure or supply constraints.
8.2 Shipping terms. Incoterms (e.g., EXW, FOB, CIF) apply as stated in the proforma invoice/order confirmation.
8.3 Risk transfer. Risk of loss transfers according to the agreed Incoterm. After transfer, the buyer is responsible for claims with the carrier, unless otherwise required by applicable law.
9) Claims, Returns & Dispute Handling
9.1 Claims window. You must inspect goods upon receipt and notify us in writing of any claim within 7 calendar days of delivery (or within the period required by the carrier for shipping damage). Provide evidence (photos, lot numbers, test results, and samples if needed).
9.2 No unauthorized returns. Do not return goods without our written approval and return instructions.
9.3 Remedy. If a claim is confirmed, our remedy may include replacement, rework, credit, or refund for the affected portion, at our discretion, consistent with the contract terms.
10) Intellectual Property
10.1 Site content. All content on the Site (text, images, logos, documents, downloads) is owned by VI-TEX or licensed to us and is protected by IP laws.
10.2 Use restrictions. You may not copy, reproduce, modify, or distribute Site content for commercial use without our written permission.
11) Confidentiality
If we share non-public information (pricing, specifications, samples, reports, or development details), you agree to keep it confidential and use it only for evaluating or purchasing our products, unless otherwise agreed in writing.
12) Compliance & Restricted Use
You agree to comply with applicable laws and regulations, including import/export controls, sanctions, and destination-country requirements. You will not use our products for prohibited or illegal purposes.
13) Website Use
13.1 No misuse. You agree not to attempt to disrupt the Site, access non-public systems, or submit malicious code.
13.2 Third-party links. The Site may contain third-party links. We are not responsible for third-party content or policies.
14) Disclaimers
14.1 No guarantee of uninterrupted service. The Site is provided “as is” and “as available.”
14.2 Performance depends on application. Yarn performance depends on construction, gauge, finishing, dyeing, care, and wear conditions. We do not guarantee outcomes outside the confirmed specification and agreed test method.
15) Limitation of Liability
To the maximum extent permitted by law, VI-TEX is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption. Our total liability for any claim related to an order is limited to the amount paid for the affected goods under that order.
16) Governing Law & Jurisdiction
The governing law and dispute resolution forum will follow the terms stated in the proforma invoice/order confirmation. If not stated, disputes will be resolved under the laws and jurisdiction of our primary place of business.
17) Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date shows the latest revision. Continued use of the Site after updates means you accept the updated Terms.
